What it means to tokenize a real asset, how it is done step by step, what the CNV says, and three Argentine cases. A guide for companies seeking financing.
Tokenizing a real asset means turning the rights over something that exists in the physical world (a production batch, a building, an energy project) into digital tokens that can be offered to many people at once. For a company, it is a way to raise financing by opening participation to its community and to new investors, without relying only on traditional channels.
In this guide we explain what it is, how it is done step by step, what Argentine regulation says, and what we have learned tokenizing real assets in the country.
What it means to tokenize a real asset
A token is a digital representation of a right. In real-world asset (RWA) tokenization, that right is tied to something concrete: the output of a production batch, the rent from a property, the results of a project.
The token is not a cryptocurrency and has no value on its own: it is worth the right it represents and the legal structure that supports it. It is recorded on a blockchain, which keeps a trace of every issuance and every transfer.
Which assets can be tokenized
Any asset with real value, documentation to back it, and a clear economic model. Some examples:
Real estate: residential or commercial developments.
Production and agribusiness: production batches, harvests, products from a regional economy.
Energy: solar, wind, or infrastructure projects.
Mining: projects backed by future production or physical assets.
Green assets: projects with measurable environmental impact.
How an asset is tokenized, step by step
Asset assessment. Before any technology, we analyze whether the asset is viable: its value, its documentation, and what the capital is needed for.
Legal structure. We define what right the token grants and which vehicle supports it. In our cases we used an administration trust, to which the company assigns the economic rights to the asset.
Economic model. How many tokens are issued, at what value, how results are distributed, and what exit options participants have.
Issuance. The tokens are created on a blockchain. For Mathienzo and Café Nómada we issued ERC-1155 tokens on the Polygon network.
Offering. Participants verify their identity (KYC/AML) and buy the tokens. The sale can happen all at once or in stages.
Management and closing. The asset is managed, progress is reported, and results are distributed according to the rules set at the start.
Three Argentine cases
Mathienzo: a batch of yerba mate
Mathienzo, a yerba mate brand from Misiones, tokenized a production batch of 1,920 packages to finance buying the green leaf, aging, packaging, and distribution. We issued 175 tokens of US$20 on an administration trust. Each token represents a share of the batch's results, with the option to redeem it for product. The sale opened on a Monday night and was 100% subscribed the next day.
Café Nómada: a community's first coffee
Nomad Hub, a community with three coffee shops in Buenos Aires, tokenized the first batch of its coffee brand: 726 kg of roasted coffee. We issued 400 tokens of US$50, offered in four stages, with benefits at the coffee shops for participants. The first stage sold out in under 12 hours.
Xuum Dynamic Building: a building in Pinamar
Together with M100 Emprendimientos, we brought a real estate development in Pinamar to tokenization, designed in 35 m² modules. Participation starts at US$100, and construction is on schedule.
What Argentine regulation says
Argentina's securities regulator, the Comisión Nacional de Valores (CNV), built a tokenization regime in stages:
RG 1060/2025 (April 2025): opened the public consultation for the regime.
RG 1069/2025 (June 2025): first stage, for publicly offered financial trusts and closed-end mutual funds backed by real-world assets.
RG 1081/2025 (August 2025): second stage, adding other securities such as shares, corporate bonds, and CEDEARs.
RG 1150/2026 (June 2026): expanded the eligible instruments and extended the test environment until December 31, 2027.
The regime works as a regulatory sandbox: a controlled test environment where the CNV observes how it works before setting definitive rules.
This regime covers publicly offered securities. A company can also tokenize the economic rights to an asset through a private structure, such as the administration trust we used for Mathienzo and Café Nómada. Which one fits depends on the asset, the amount, and who you want to reach.
Benefits for the company
Financing from your own community: customers and followers can take part in a project they know.
Fractionalization: a large asset is divided into small parts, within reach of more people.
Stages: the offering can be staggered, as with Café Nómada.
Traceability: every issuance and transfer is recorded.
Brand connection: participants can receive benefits beyond the financial result.
Risks and when it isn't a good idea
Technology doesn't create value where there is none: it makes it visible where it already exists. Tokenizing isn't a good idea:
When the asset isn't defined or lacks clear documentation.
When the purpose of the capital isn't clear.
When there is no willingness to be transparent with participants.
When you're looking for a quick fix, with no structure.
And keep in mind that a token is worth only as much as the legal right behind it: if the structure is weak, the token protects no one.
Frequently asked questions
What does it mean to tokenize an asset?
To represent the rights over a real asset as digital tokens, recorded on a blockchain, that can be offered to several people.
Is it the same as creating a cryptocurrency?
No. A cryptocurrency works as money. A real-asset token represents a specific right, such as a share of the results of a production batch.
Does the token give ownership of the asset?
It depends on the structure. In Mathienzo, for example, the token gives a share of the batch's economic results, not direct ownership of the goods.
Is tokenization legal in Argentina?
Yes. The CNV has a specific regime for tokenizing securities, and there are also private structures, such as the administration trust.
What does a company need to get started?
A real asset with documentation, a clear purpose for the capital, and the willingness to work with a solid legal and financial structure.
